Terms of Service.

By accessing or using the Profound Dispatch & Logistics LLC ("Profound Dispatch," "we," "our," or "us") platform at profounddispatchlogistics.com and any related services (collectively, the "Service"), you ("Carrier," "Dispatcher," "Driver," or "User") agree to be bound by these Terms of Service (the "Terms"). If you do not agree, you may not use the Service.

The Service is strictly invite-only. Accounts may only be created by an authorized administrator or dispatcher. Any attempt to circumvent the invite process, share credentials, or access another user's data is prohibited and grounds for immediate termination.

Profound Dispatch provides freight dispatch, fleet management, credential onboarding, factoring/invoicing coordination, and back-office administrative services to trucking carriers, owner-operators, and fleet owners. Specific services are described in your engagement letter or the Service Plan you select on profounddispatchlogistics.com.

Fees are outlined in the pricing plan you select (Start Up Company, Dispatch Services percentage, or Office Manager Package tiered by fleet size). Dispatch fees are collected per load. Office Manager Package fees are billed weekly. Invoices may be delivered via QuickBooks Online. Overdue invoices may result in service suspension.

The Service integrates with third-party providers including QuickBooks Online (invoicing), Google Maps (routing/mileage), Resend (transactional email), Telegram (notifications), and Emergent Object Storage (document uploads). Your use of the Service constitutes acknowledgement that data may transit through these providers subject to their respective terms and privacy policies.

You retain ownership of documents you upload (rate confirmations, BOL, POD, credentials). By uploading, you grant Profound Dispatch a license to store, transmit, and process them as required to provide the Service. We do not sell your data. See our Privacy Policy for details.

You may not use the Service to (a) violate any law or regulation, (b) misrepresent identity or credentials, (c) reverse-engineer the platform, (d) submit fraudulent load or invoice information, or (e) attempt to access data belonging to another Carrier.

Either party may terminate the engagement at any time with reasonable notice. Profound Dispatch may suspend or terminate your account immediately for breach of these Terms, non-payment, fraud, or safety concerns. Outstanding fees remain payable.

The Service is provided "as is" without warranties of any kind. Profound Dispatch is not liable for load losses, cargo claims, or business interruption arising from third-party actions (brokers, factoring companies, insurance carriers). Our aggregate liability shall not exceed the fees paid to us in the trailing three months.

You agree to indemnify and hold harmless Profound Dispatch & Logistics LLC, its officers and employees against claims arising from your use of the Service or breach of these Terms.

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Fulton County, Georgia.

We may update these Terms from time to time. Continued use of the Service after posting constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notice.
